Upstage WriteUp Service Terms and Conditions

1. Purpose

These Terms delineate the rights and obligations of Upstage Co., Ltd. (“the Company”) and its users (“Members”) regarding the utilization of the WriteUp Application and its associated text generation services, along with other pertinent issues.

2. Definition of Terms

1. ‘WriteUp’ refers to the desktop application which generates and revises text originally written by a user, including additional services such as remote LLM(Large language model) and a local large language model.
2. ‘Member’ refers to a user who has agreed to the terms and conditions of the WriteUp application and has entered into a service contract with the company by agreeing to these terms for the use of this service.
3. ‘User’ refers to anyone who uses programs or applications provided by the member.
4. ‘API’ is an abbreviation for Application Programming Interface and refers to the interface used by members to utilize the services provided by the company in their own applications or similar platforms.
5. Definitions of terms not specified in this article follow the terms and conditions of the Upstage Console.

3. Formation and Effectiveness of the Service Contract

1. The service contract for this service is established when the member agrees to these terms and applies for the use of the service, and the company accepts the application.
2. The company provides accounts to members for the smooth provision of this service when they apply for the service. Members must manage the accounts they receive with the duty of care of a prudent manager and use them personally.
3. The company can specify the usage scope, available time, number of uses, and usage fees for providing this service. Such provision conditions will be announced through the website, and members can use the service only according to these set conditions.
4. For changes to these terms, the provisions of the service usage terms and conditions apply. Matters not specified in these terms follow the service usage terms and conditions. In case of any conflict between these terms and the service usage terms and conditions, these terms take precedence in relation to the use of the Document AI API.

4. Provision of the Service, etc.

1. The company may provide members using this service with a model for text generation, cloud endpoints, and applications and guides to facilitate easy use.
2. The company provides a system to members using this service to view billing details.
3. The company posts on the website the service policy, such as the daily text generation usage limit, types of generation models, and pricing plans that members can use through this service, so that members can check them.

5. Rights and Obligations

1. Members acquire the right to use the service within the scope allowed by these terms and on the homepage, etc. Under no circumstances does this imply the acquisition of intellectual property rights related to the service or rights to the resulting data beyond the grant of such limited usage rights.
2. The company is obliged to provide the service requested by the member in a stable and continuous manner.
3. For smooth application and operation of the service, the company collects and stores personal information of the members and does not provide it to third parties without the member’s consent or without a legal basis.
4. Members are obligated to pay the usage fees set by the company by the designated date.
5. Members should not, without the company’s prior consent, reproduce, store, process, distribute, or provide to third parties the result data of the ‘service’ beyond the scope allowed in these terms.
6. In accordance with the company’s policy, the company may request the placement of the company’s logo or a designated mark on all result data produced by the member using the service, and the member must comply with this.

6. Restrictions on Service Use

1. The company may temporarily restrict the use of the service for members if it is confirmed that the member does not pay the legitimate cost for the service, or engages in abusive behavior towards the service, such as:
   1. Not paying for the service.
   2. The member’s ‘application, etc.’ engages in the following behaviors:
      • Accessing the service system without legitimate access rights or beyond the permitted access rights.
      • Damaging, destroying, altering, forging the service system or data, or interfering with the operation of the system.
      • Sending mass signals or data to the service system or processing unauthorized commands.
   3. If the member’s ‘application, etc.’ is suspected to be hacked or infected with a virus or malware.
   4. If it is confirmed that appropriate security updates are not being made in the member’s ‘application, etc.’, posing a risk to the operation of the service.
   5. If the service is used for purposes detrimental to national or social interests.
   6. If the service is used for criminal acts or acts contrary to public morals and order.
   7. If reports or confirmations are made of illegal content in the member’s ‘application, etc.’, such as:
      • Reports or confirmation of content that damages or insults the honor of others.
      • Reports or confirmation of content that infringes on the rights of others (copyrights, trademarks, portrait rights, etc.).
   8. If the member violates related laws or these terms and conditions.
2. The company will lift the restriction without delay when it deems that the cause of the restriction in paragraph 1 has been resolved.
3. If the member does not resolve the cause of the restriction within a reasonable period after the restriction due to the fault reason in paragraph 1, the company may terminate the service contract.
4. The local LLM models obtained through WriteUp are exclusively for the functionalities within the WriteUp application and should not be used for any other purposes.

7. Service Usage Fees

1. Details of the service usage fees and any changes to them will be posted on the ‘homepage’.
2. Even if the usage fees change during the service usage contract period, they will not be retroactively applied unless there are special circumstances.
3. The usage fees for the service are calculated on a monthly basis from the day of purchase.
